Terms & Conditions

Version 1.0 — Effective 30 September 2026 — The French Kids LP

Contents

These Terms govern the adforgood.com website and the Proof of Cause services operated by The French Kids LP. Version 1.0 — September 30th 2026.

Part A — About these Terms

1. Who we are

Ad For Good®, Proof of Cause, and all associated websites and services (together, the "Services") are owned and operated by The French Kids LP, a limited partnership registered in Scotland with registration number SL037848, having its registered office at 5 South Charlotte Street, Edinburgh, EH2 4AN, Scotland, United Kingdom. In these Terms, "Company", "We", "Us" or "Our" refer to The French Kids LP. You can contact us at doers@adforgood.com.

2. Structure of these Terms

These Terms are in three parts. Part A applies to everyone. Part B (Website Terms of Use) applies to anyone who visits adforgood.com or reads a Proof Page. Part C (Service Terms) applies to organisations that order or use the Proof of Cause services, whether as a Customer, a Partner or a Nonprofit. If Part C conflicts with Part B, Part C prevails for the organisation concerned. If a signed order form or a partner agreement conflicts with these Terms, the signed document prevails.

3. Who these Terms are for

The Services are provided to businesses and organisations, not to consumers. By ordering or using the Services you confirm that you act in the course of a business, charity or other organisation and that the person accepting these Terms has authority to bind it. Members of the public who read Proof Pages do not enter into Part C; Part B and our Privacy Policy apply to them.

4. Definitions

  • Claim: a statement made in or alongside an advertisement that a donation, contribution or other benefit will be or has been given to a Nonprofit (for example "€1 donated per product sold" or "1% of the media budget given to…").
  • Customer: the advertiser, brand or other organisation on whose behalf a Claim is made and a Proof Page is ordered.
  • Partner: a sales house, media owner, agency or platform that orders Proof Pages for its own clients, including under a white-label arrangement.
  • Nonprofit: the association, foundation, charity or other beneficiary named in a Claim.
  • Proof Page: the public web page, identified by a short link and QR code, that publishes the Claim, the amounts, the Nonprofit, the dates, the Level reached and the history of the page.
  • Evidence: the documents supplied to support a Claim, such as a donation agreement, a transfer order, a bank confirmation, a Nonprofit receipt or a sales report.
  • Confirmation: the statement by which a Nonprofit confirms, through the link we send it, the amount and date of a contribution it has received.
  • Attestation: a written statement issued by an independent chartered accountant, engaged through us, that the amount paid matches the calculation promised in the Claim.
  • Level: the level of proof reached by a Proof Page under the Standard (Level 0 Declarative, Level 1 Documented, Level 2 Confirmed, Level 3 Attested).
  • Standard: the Proof of Cause Standard as published on adforgood.com, in the version in force on the date a Proof Page is opened.
  • Legal File: the time-stamped compilation of Evidence, Confirmations and Attestations for a Proof Page, delivered to the Customer.
  • Order: a request for Services accepted by us in writing (including by email or through an online form followed by our written confirmation).

5. Changes to these Terms

We may update these Terms from time to time. The version published on adforgood.com at the date of an Order applies to that Order. For Proof Pages already open, we will give Customers and Partners at least 30 days' written notice of any change that materially reduces their rights, and the previous version will continue to apply to those pages if they object in writing within that period. Changes to Part B apply from the date they are published.

Part B — Website Terms of Use

6. Access to the website

By accessing adforgood.com, its subdomains and any Proof Page (together, the "Website"), you agree to this Part B. We may suspend, withdraw or change any part of the Website without notice. We do not guarantee that the Website will be available at all times or free from errors.

7. What Proof Pages are

A Proof Page publishes facts supplied by a Customer and, from Level 2, confirmed by the Nonprofit concerned. A Proof Page is not a label, a certification mark, a rating of the Nonprofit or of the cause, an audit opinion (except where an Attestation is expressly displayed) or legal advice. The Level shown on a Proof Page describes only the type of Evidence and Confirmation on record for that page, as defined in the Standard. Readers should rely on the underlying documents and statements referenced on the page, not on any inference they draw from its existence.

8. Acceptable use

You must not: use the Website in any way that breaks applicable law; scrape, copy or republish Proof Pages or the Standard in a way that misrepresents their content or Level; present a Proof Page, its short link, its QR code or any Ad For Good name or mark as an endorsement of a product, company or cause; attempt to gain unauthorised access to any part of the Website or its systems; or introduce malicious code. We may block access to anyone who breaches this section.

9. Our content and your use of it

The text, design, code and marks on the Website belong to us or our licensors. You may read Proof Pages and quote their facts, with a link to the page, for reporting, research, compliance and personal purposes. The Standard is published under the licence described in section 24. Any other use requires our written consent.

10. Reporting an error on a Proof Page

Anyone may report an error or a suspected inaccuracy on a Proof Page by writing to proof@adforgood.com with the page reference. We acknowledge reports within 5 working days and handle them under section 19. We do not undertake to investigate matters outside the scope of the Proof Page (for example the conduct of a Nonprofit or the merits of a cause).

11. Third-party links

The Website may link to third-party sites, including Nonprofit and Customer websites. We are not responsible for their content or practices.

Part C — Service Terms

12. The Services

We provide the following, as specified in each Order: (a) verification of the identity and status of the Nonprofit named in a Claim, by checking public registers (for example the RNA or SIREN register in France, the Charity Commission or OSCR register in the United Kingdom, or the equivalent register in the Nonprofit's country); (b) creation and hosting of a Proof Page with a short link and a QR code; (c) collection and time-stamping of Evidence uploaded by the Customer or Partner, with a cryptographic hash of each file; (d) sending the Nonprofit a unique Confirmation link, with reminders, and recording its Confirmation; (e) at Level 3, engaging an independent chartered accountant to issue an Attestation; (f) assembling and delivering the Legal File; and (g) keeping the Proof Page online and its history visible for the retention period in section 18.

13. What the Services are not

  • Not a label or certification scheme. Proof of Cause is not a sustainability label, trust mark or certification scheme within the meaning of Directive (EU) 2024/825 or any equivalent law, and we are not a certification body. We publish facts and the type of evidence behind them; we do not award a mark. Customers and Partners must not display any Ad For Good or Proof of Cause name, logo or seal in an advertisement. Only the short link or QR code of the Proof Page may appear in advertising.
  • Not a payment or donation service. We never receive, hold, transfer or redistribute donations or any other funds on behalf of Customers, Partners or Nonprofits. All contributions are paid directly by the Customer to the Nonprofit. We are not a payment institution, a fundraising platform or a commercial co-venturer.
  • Not an audit. Unless an Attestation is expressly issued and displayed at Level 3, we do not audit, verify or certify amounts. At Levels 1 and 2 we record that documents were supplied and that the Nonprofit confirmed receipt; we do not independently verify bank movements.
  • Not legal advice. Nothing on the Website, in the Standard, in a Proof Page or in a Legal File is legal advice or an opinion on whether a Claim, an advertisement or a campaign complies with consumer, advertising, tax or charity law in any country. Customers remain solely responsible for the lawfulness of their advertising.
  • Not an endorsement. A Proof Page does not endorse the Customer, the Nonprofit, the product advertised or the cause supported.

14. The four Levels

Each Proof Page shows the Level it has reached under the Standard. Level 0 (Declarative) means the Customer has stated the Claim and no Evidence is yet on record. Level 1 (Documented) means the agreement with the Nonprofit and the transfer order or bank confirmation are on record and consistent with the Claim. Level 2 (Confirmed) means the Nonprofit has independently confirmed the amount and date received and has supplied its receipt. Level 3 (Attested) means an independent chartered accountant has attested that the amount paid matches the promised calculation. A Level is a description of the record for that page on a given date, not a guarantee of any future payment. A page may move down a Level under section 19.

15. Ordering

An Order is formed when we confirm in writing a request made through the Website, by email or on a Partner's platform. We may decline any request, in particular where the Nonprofit cannot be identified in a public register, where the Claim cannot be expressed as a verifiable amount or calculation, or where the campaign is excluded by the Ad For Good Charter. Each Order specifies the Claim, the calculation method, the Nonprofit, the campaign period, the target Level and the fees.

16. Customer and Partner obligations

16.1 Accuracy. The Customer (and, where it orders on the Customer's behalf, the Partner) warrants that every Claim, amount, date, calculation basis, Nonprofit name and piece of Evidence it supplies is true, complete, not misleading and not altered, and that the Claim as published on the Proof Page is identical to the Claim shown in the advertisement.

16.2 Authority and rights. The Customer warrants that it has the Nonprofit's agreement to name it in the Claim and on the Proof Page, that it holds the rights needed for any name, logo or material it supplies, and that it is entitled to disclose the Evidence to us and, in the form described in section 17, to the public.

16.3 Payment to the Nonprofit. The Customer is solely responsible for paying the promised contribution to the Nonprofit, in full and on time, and for any tax, receipt or reporting consequences of that payment. We have no involvement in, and no responsibility for, that payment.

16.4 Lawfulness of the campaign. The Customer is responsible for ensuring that its advertising, its Claim and its use of the Proof Page comply with the laws applicable in every country where the advertisement is shown, including the Unfair Commercial Practices Directive as amended by Directive (EU) 2024/825, the UK Consumer Protection from Unfair Trading Regulations and the CMA Green Claims Code, local advertising self-regulatory codes and any rules on cause-related marketing or public fundraising.

16.5 Cooperation. The Customer will supply Evidence within the time stated in the Order, answer our reasonable questions within 10 working days, and tell us promptly if any fact on a Proof Page becomes inaccurate (for example if a campaign is cancelled, extended or capped).

16.6 Use of the Proof Page. The Customer may use the short link and QR code of its Proof Page in any communication. It must not describe the Proof Page or its Level as a label, certification, award or endorsement, must not alter the page's content when quoting it, and must not use the Ad For Good or Proof of Cause names or marks other than in the phrase "proof page hosted by Ad For Good" or as we otherwise agree in writing.

16.7 Partner responsibilities. A Partner that orders Proof Pages for its clients is responsible for obtaining each client's acceptance of these Terms, for the accuracy of the information it passes to us, and for paying the fees for the Orders it places. Under a white-label arrangement, the Partner may present the Proof Page under its own name provided the operator identity in section 1 remains visible in the page footer.

16.8 Indemnity. The Customer and, for the Orders it places, the Partner will indemnify us against all losses, costs (including reasonable legal fees), claims and regulatory fines we suffer or incur because a Claim, Evidence or information supplied to us was false, misleading, incomplete or unlawful, or because the Customer or Partner breached this section 16.

17. Nonprofits

17.1 No charge. The Services are free of charge for Nonprofits. We never ask a Nonprofit for a fee, a commission or any share of a contribution.

17.2 Confirmation. When a Customer records a contribution to a Nonprofit, we send the Nonprofit a unique link. By using it, the Nonprofit confirms the amount and date actually received, may attach its receipt, or may instead report a discrepancy. The Nonprofit warrants that the person using the link is authorised to confirm receipt of funds on its behalf and that each Confirmation is accurate. A Confirmation is a statement of fact by the Nonprofit; it is published on the Proof Page as such, with the Nonprofit's name and the date, and without the name of the individual who made it.

17.3 No obligation to confirm. A Nonprofit is free not to respond. If no Confirmation is received after our reminders, the Proof Page stays at the Level reached and states that confirmation is pending.

17.4 Verified partner profile. A Nonprofit that has confirmed at least one contribution may have a public profile listing the Proof Pages that name it. We may display the words "verified partner" on that profile to mean only that the Nonprofit's identity and registration were checked under section 12(a) and that it has confirmed a contribution. This wording is not a label and must not be used in advertising by anyone other than the Nonprofit on its own channels.

17.5 Withdrawal. A Nonprofit may ask us at any time to remove its profile. Confirmations it has already made remain on the Proof Pages concerned, because they are part of the record, unless the Nonprofit shows that a Confirmation was made in error or without authority, in which case section 19 applies.

18. Publication and retention

18.1 What is public. A Proof Page publishes: the Claim as worded in the advertisement; the calculation method, caps and period; the amount stated and, once confirmed, the amount received; the Customer's legal name and registration number; the Nonprofit's legal name, registration number and status; the dates of transfer and Confirmation; the Level; the list of Evidence on record with the file type, date and hash of each document; and a dated history of every change to the page. The Evidence files themselves are not public. They are kept by us and disclosed only to the Customer, to the Partner that placed the Order, to the accountant issuing an Attestation, and to a court, regulator or public authority that requires them.

18.2 Licence to publish. By placing an Order, the Customer and, where applicable, the Partner grant us a worldwide, royalty-free licence to publish the information in section 18.1 on the Proof Page and in the public register of Proof Pages, and to reference the Proof Page in our own communications, for the whole retention period.

18.3 Retention. Each Proof Page remains online, with its full history, for at least five years from the date the campaign ends or the last Confirmation is recorded, whichever is later. Evidence and the Legal File are kept for the same period. The Customer cannot require earlier removal, because the public availability of the record is the purpose of the Service. After the retention period we may archive the page, keep it online or remove it at our discretion, and we will provide the Customer with a final copy of the Legal File on request.

18.4 Exceptions. We will remove or amend content earlier only where a court, regulator or public authority requires it, where a Nonprofit shows that it was named without its agreement, or where content infringes third-party rights. In each case the page will state that content was removed and why, without publishing the removed content.

19. Disputes, corrections and downgrades

19.1 Reports. Any Customer, Partner, Nonprofit or member of the public may report a discrepancy between what a Proof Page states and what happened.

19.2 Ten working days. Within 10 working days of receiving a credible report, we will display on the page a notice that the content is under review, ask the Customer and the Nonprofit for their explanation, and record the report in the page history. During the review the Level is shown as under review.

19.3 Outcomes. If the discrepancy is confirmed, we correct the page, move it to the Level that the record supports (including Level 0 where a Claim is not substantiated) and record the correction in the history. If the report is not substantiated, we close it and record that too. We do not decide legal liability between the parties; we record what the documents and Confirmations show.

19.4 False information. If we find that a Customer or Partner knowingly supplied false Evidence or a false Claim, we may, in addition to the above, withdraw all Proof Pages of that Customer or Partner, terminate all its Orders without refund and keep a public notice of withdrawal on the pages concerned for the retention period.

20. Fees and payment

20.1 Fees. Fees are those stated in the Order or, failing that, on the pricing page of adforgood.com on the Order date. Fees are exclusive of VAT and any other applicable tax. Fees are fixed amounts per Proof Page or per subscription period; we never charge a percentage of any contribution.

20.2 Invoicing. Per-campaign fees are invoiced when we confirm the Order and are payable within 30 days of the invoice date. Subscription fees are invoiced monthly in advance. Attestation fees at Level 3 include the accountant's fee stated in the Order; if the accountant's work is materially increased by incomplete or late Evidence, we may charge the additional cost after informing the Customer.

20.3 Payment methods. Payment is by bank transfer (BACS, Faster Payments, SEPA or international transfer) or by any card or online payment method we offer. Bank charges are borne by the payer.

20.4 Late payment. We may charge interest on overdue amounts at 4% a year above the Bank of England base rate, together with the fixed sums allowed under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend work on the Order until payment. Suspension does not affect a Proof Page already published.

20.5 No refunds after publication. Because the Service is performed as soon as the Nonprofit is verified and the Proof Page is opened, fees are not refundable once the page is published, including where the Nonprofit does not confirm, where the Customer cancels the campaign or where the page is downgraded under section 19. If we decline an Order or cannot open a page, we refund any fee paid.

20.6 Price changes. We may change our published prices at any time. Changes do not affect Orders already confirmed. For subscriptions, we give 30 days' notice and the new price applies from the next renewal.

21. Term and termination

21.1 Per-campaign Orders end when the Legal File is delivered, without prejudice to the retention obligations in section 18, which continue.

21.2 Subscriptions run for the period stated in the Order, renew automatically for the same period unless either party gives 30 days' written notice before renewal, and may be terminated by either party for the other's material breach not remedied within 30 days of written notice.

21.3 Partner agreements run for the term stated in the signed agreement; these Terms apply to each Order placed under them.

21.4 Effect of termination. Termination does not remove Proof Pages already published. They remain online for the retention period under section 18, and sections 13, 16.8, 18, 19, 22, 23, 24, 26 and 27 continue to apply. Fees due at termination remain payable.

21.5 Our right to withdraw. We may terminate any Order and withdraw the related Proof Pages, with a public notice as described in section 19.4, where a Customer or Partner has supplied false information, breached section 16 in a material way, or become insolvent.

22. Intellectual property

Ad For Good®, Proof of Cause, the Standard, the Website, the Proof Page format, the software and all related materials are owned by us or our licensors. Nothing in these Terms transfers any of these rights. Customers, Partners and Nonprofits keep all rights in the names, logos and Evidence they supply and grant us only the licences stated in sections 18.2 and 23.

23. Licence to use Customer and Nonprofit materials

The Customer and the Nonprofit each grant us a non-exclusive, worldwide, royalty-free licence to reproduce their name and logo on the Proof Page, on the register of Proof Pages and on the Nonprofit profile, for the retention period, solely to identify them as the parties to the Claim. We do not use these names or logos in our own advertising without separate written consent.

24. The Standard

The Proof of Cause Standard is published free of charge on adforgood.com. Anyone may reproduce, quote and refer to it, in whole or in part, provided the version number and a link to the source are given and the text is not altered. Nobody may state or imply that a page, claim or organisation "meets" or "is certified under" the Standard unless a Proof Page hosted by us shows the corresponding Level. We may publish new versions of the Standard; each Proof Page states the version under which it was opened.

25. Confidentiality

Each party will keep confidential the non-public information it receives from the other under an Order, including Evidence files, pricing under a Partner agreement and any information marked confidential, and will use it only to perform these Terms. This does not apply to information that is published on a Proof Page in accordance with section 18, that is already public, that must be disclosed by law or to a court, regulator or public authority, or that is disclosed to professional advisers bound by confidentiality. This section survives for five years after the end of the relevant Order.

26. Data protection

We process personal data as described in our Privacy Policy, which forms part of these Terms. In relation to personal data contained in Evidence, Confirmations and contact details, each of the Customer, the Partner and the Nonprofit is an independent controller for the data it supplies, and we are an independent controller for the data we publish and retain. Each party will comply with the UK GDPR, the Data Protection Act 2018 and, where applicable, the EU GDPR and local law, will supply only personal data that is necessary for the Service, and will give the individuals concerned the information required by law. Where a Partner requires us to act as its processor for a white-label service, the parties will sign a data processing agreement before any such processing begins.

27. Liability

27.1 Nothing excluded that cannot be. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

27.2 What we are responsible for. We are responsible for performing the Services described in section 12 with reasonable care and skill: checking the Nonprofit against the registers stated, recording Evidence and Confirmations accurately as supplied, publishing the Proof Page in accordance with the Standard, and keeping it online for the retention period.

27.3 What we are not responsible for. Subject to section 27.1, we are not liable for: the truth of any Claim, Evidence or Confirmation supplied by a Customer, Partner or Nonprofit; whether a contribution is actually paid; the content, quality or lawfulness of any advertisement; any decision by a regulator, court, self-regulatory body or platform about a campaign; the conduct or use of funds of any Nonprofit; the content of an Attestation, which is the accountant's own professional opinion; or any loss arising from a Proof Page being downgraded, placed under review or withdrawn in accordance with section 19.

27.4 Excluded losses. Subject to section 27.1, we are not liable for loss of profit, revenue, business, goodwill or reputation, loss of or damage to data (other than the Legal File, which we will re-deliver), or any indirect or consequential loss.

27.5 Cap. Subject to section 27.1, our total liability to a Customer or Partner under or in connection with an Order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the fees paid or payable under that Order in the twelve months before the event giving rise to the claim, and in any event to a maximum of £9,000 per Order. Our total liability to a Nonprofit, which pays no fee, is limited to £5,000.

27.6 Members of the public. The Website and Proof Pages are provided for information. Subject to section 27.1, we accept no liability to any member of the public for any decision taken in reliance on a Proof Page.

28. Force majeure

Neither party is liable for delay or failure caused by events outside its reasonable control, including failure of hosting providers, registers or payment systems. Retention obligations resume as soon as the event ends, and we will restore Proof Pages from backup.

29. General

29.1 Entire agreement. These Terms, the Order, the Standard and the Privacy Policy form the whole agreement between the parties on their subject matter and replace any earlier terms, including any terms previously published for the Ad For Good label.

29.2 Assignment. We may assign or transfer these Terms to a successor operator of the Services, provided the retention commitments in section 18 are honoured; Customers and Partners may not assign without our written consent.

29.3 Notices. Notices to us are to be sent to doers@adforgood.com and, for legal notices, by post to the registered office in section 1. Notices to Customers and Partners are sent to the email address given in the Order and are deemed received on the next working day.

29.4 Severance. If any provision is held invalid, the rest continues in force.

29.5 No waiver. A delay in enforcing a right is not a waiver of it.

29.6 Third parties. Except for Nonprofits under section 17, no third party may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

29.7 Language. These Terms are in English. Translations, including the French version published on adforgood.com, are provided for convenience; the English text prevails in case of inconsistency.

30. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, without prejudice to our right to seek an injunction or to enforce a judgment in any other jurisdiction.
